Background

Due to completion of the term of some of our current Board Directors, we are seeking interest from BDA Full Members who have strong governance knowledge and skills to undertake the duties of a BDA Board Director.

We are recruiting to two Director roles from within our membership.

The BDA Board of Directors leads the profession and, more importantly, has strategic oversight of the company. There is a Selection Committee which interviews candidates and makes recommendations to the Board on Director appointments in line with Selection Committee by-laws. Director appointments must be ratified by members at the AGM per the BDA Memorandum and Articles.

All appointees will demonstrate appropriate governance skills, competencies and experience of working at a strategic level. We are keen also to strengthen the Board’s expertise in the following desirable areas:

  • Higher education
  • Non-NHS environment (e.g. Industry, Corporate, Freelance)
  • Experience of the Trade Union space

As such it would be helpful if applicants could demonstrate expertise in one or more of these areas – note this is desirable, not essential.

Role description

The key responsibilities of all BDA Board Director are to:

  • Act as a Director of the company and, in accordance with Company Law
  • Act in the best interests of the company and declare all personal and professional interests, including any conflicts
  • Attend and contribute to Board meetings and any Board discussions and decisions that are necessary outside of the meeting cycle
  • Provide strategic direction and make policy and strategic decisions in the best interests of the company and profession
  • Represent the Board to members and externally at meetings or events
  • Undertake and lead a specific portfolio of activity at the request of the Board
